upGrad, a prominent player in India’s edtech sector, is on the verge of acquiring Unacademy in an all-stock deal valued at approximately ₹2,055 crore ($218 million). This acquisition marks a dramatic 90% reduction from Unacademy’s peak valuation of $3.4 billion during the 2021 funding surge. The move underscores a significant shift in the edtech landscape as companies adjust to post-pandemic realities.

Despite raising $830 million from notable investors like Blume Ventures and Elevation Capital, Unacademy has struggled with profitability, prompting this acquisition move.

upGrad’s Strategic Expansion

Led by Ronnie Screwvala, upGrad is aggressively pursuing growth through acquisitions. This potential acquisition of Unacademy follows its recent purchase of Internshala, highlighting its focus on expanding its edtech footprint. upGrad’s strategy aligns with its plans to leverage AI and other technologies to innovate in the education sector. The company, valued at $1.9 billion, is also reportedly seeking additional funding from existing investors, including Temasek, which holds stakes in both upGrad and Unacademy.

The sector’s challenges are further compounded by the struggles of BYJU’S, once a leader valued at $22 billion, now undergoing insolvency proceedings.
